Once accepted, the following document constitutes an agreement made on the date accepted between the Sewing Network, and the sales Client,identified by the name and address included in the agreement. The Sewing Network is engaged in the sale and distribution of personalized embroidered items, apparel and related accessories.The Client is an Independent Contractor and will not be treated as an employee of The Sewing Network for tax purposes. The Client purchases the products from The Sewing Network for resale, thereby establishing a seller/purchaser relationship. The Sewing Network is interested in the management of both the good will and image of The Sewing Network and its products. Clients are equally concerned with the promotion and sale of the products, along with the good will of the Sewing Network name. Client agree(s) to the following: 1.I am of legal age in the province of my residency. 2.I will become a Sewing Network Client upon the acceptance of this agreement, and I will, at that time, have the right to sell The Sewing Network products in accordance with The Sewing Network policies and procedures as the established compensation plan. 3.I acknowledge that as an Independent Contractor, I am self-employed and not an employee of The Sewing Network. I understand that I am engaging in an independent business and am not covered by the company under any federal unemployment or workers compensation act or for social benefits. Client is also responsible for payment of all federal, provincial, and local income taxes arising out of Client(s) activities and for filing of all returns and reports. 4.To represent The Sewing Network products, concerning The Sewing Network career in a truthful, sincere, and honest manner, while representing the company in a courteous and professional manner at all times. I agree to refrain from making any misleading income or earning potential claims on behalf of The Sewing Network to any third party. 5.To the payment of all orders submitted via the credit/debit card provided to The Sewing Network. All orders submitted are subject to the approval of The Sewing Network upon receipt at the Head Office. 7.The Sewing Network has the right to terminate this agreement with the Client at any time with or without cause, by providing written notice.I am entitled to terminate my participation in The Sewing Network at any time by giving written notification to the company. Voluntary termination is effective upon receipt of such notice by the Head Office. Notification of such termination may be forwarded to the affected parties 9.The Advisor agrees that while this Agreement is in effect and for a period of (1) year following the termination of his/her representation of the Company he/she will not use or disclose to any person or company any information obtained while representing the Company concerning the names and/or addresses of independent contractors or employees or any other trade secrets, nor will he/she reveal to any person or company his/her compensation arrangement or amount he/she receives under this Agreement, nor will he/she use or give to any person or company any sales literature or other materials furnished to him/her by the Company. From the date of this Agreement until one year following the date of termination of this Agreement (whether by Client or company and whether for cause or without cause), Advisor shall not, either directly or indirectly, either for him/herself or for any other person, firm, or corporation, call upon solicit, divert, or take away any of the Company(s) employees or Independent Contractors. This Agreement is not intended and shall not be construed to create a relationship of employer/ employee, partnership, or joint venture between myself and any Client, representative, or sponsor of The Sewing Network. I understand that I have no authority to bind the company to any obligation.I will not use The Sewing Network tradename, logo, copyrighted material, trademarks, or service marks, except in materials provided by the company or with the express written consent of The Sewing Network. I understand that unauthorized use or duplication of the trademarks or copyrighted materials is a violation of my agreement.I hereby agree not to repackage, re-label, copy, or cause to have copied the Sewing Network products, nor will I sell said products under any other name or label. I further agree to refrain from producing, selling, and using, for the purpose of advertising, promoting, or describing the company products, compensation plan, or other programs, any written, recorded, or other materials which have not been approved or provided by the company. 14.I agree to represent The Sewing Network products and all facts concerning a Sewing Network career in a truthful, sincere, and honest manner, while representing the Company in a courteous and professional manner at all times. I have reviewed the The Sewing Network compensation plan and I agree to abide by this document. I understand and agree that this document may be amended from time to time and I agree to be bound by those amendments.16.The Advisor agrees to all elements of this agreement. Any violation of the documented policies and procedures will result in disciplinary and or legal action as provided in the manual or by law. This agreement is not subject to any alteration or modification without the written and signed consent of The Sewing Network. This agreement between The Sewing Network and Client does not extend to any obligation beyond what is contained within. This agreement is subject to acceptance by The Sewing Network.
